1. About these terms
These Terms are an agreement between you and Joined Up Intelligence Limited, trading as useMo ("we", "us"). useMo is a trading name of Joined Up Intelligence Limited. Registered in England & Wales, company no. 13984081. Registered office: Bank House, Market Street, Whaley Bridge, High Peak, SK23 7AA. VAT no. GB432596974. They cover your use of the useMo website, dashboard and tracking script ("the Service").
The Service is for business use only. By creating an account you confirm that you are using it for your trade, business or profession, and not as a consumer. If you accept these Terms on behalf of an organisation, you confirm you have authority to bind it, and "you" means that organisation.
You accept these Terms when you create an account or start a paid plan. Our Data processing agreement forms part of them. Our Privacy policy and Cookie policy explain how we handle personal data and browser storage.
2. The Service
useMo is a behaviour analytics service. You add our script to your websites; it records how visitors move through your pages and forms (never what they type), and the dashboard reports it as funnels, field drop-off, journeys and session timelines. Optional features include nudges (help cards shown to your visitors), drop-off alerts and the journey evidence report, depending on your plan.
3. Your account
- Give accurate details and keep your email address up to date: we sign you in and send important notices there.
- Keep access to your email account secure, and tell us at once if you think someone else has used your account.
- You are responsible for what happens under your account, including what the people you invite to your projects do.
4. Plans and prices
- Our plans, what each includes and their prices are on our pricing page. The Free plan costs nothing and has no time limit.
- Prices are in pounds sterling and exclude VAT, which we add where it applies.
- Paid plans are billed in advance, monthly or yearly, by card through our payment provider, Stripe. A plan renews automatically at the end of each period until you cancel it.
- Each plan has a monthly session allowance. Going over it never stops tracking and is never charged extra; we will let you know when you are close to or over it.
- You may give us a VAT number at checkout. You are responsible for its accuracy.
5. Changing plan
- You change plan on the Billing page.
- Moving to a dearer plan or period is charged straight away for the rest of the current period, less the unused part of what you have already paid. The new plan starts once that payment succeeds.
- Moving to a cheaper plan or period takes effect straight away; the unused part of what you have paid becomes credit against your next invoices. It is not paid back.
- If your new plan allows fewer sites than you have, the sites over the limit are paused: they keep everything they recorded but record nothing new until you choose which sites run, upgrade, or delete sites. Reports show only your new plan's history; older data is hidden, not deleted, and comes back if you upgrade within the 365 days we keep it. If your team is larger than the new plan allows, nobody loses access, but you cannot invite anyone until it fits.
6. Cancelling and refunds
You can cancel a paid plan at any time under Manage billing on the Billing page. It stays active until the end of the period you have paid for and then moves to the Free plan; your data is kept, subject to the Free plan's limits.
We do not refund part periods, whether you cancel, move to a cheaper plan or stop using the Service, except where these Terms say otherwise, where the law requires it, or at our discretion. A refund on its own does not cancel a plan.
7. Failed payments
If a payment fails, Stripe will retry it over the following days and your dashboard will show a notice asking you to update your card. Your plan carries on while it retries. If the payment still cannot be taken, the plan ends and your account moves to the Free plan, with the effects described in clause 5.
8. Price changes
We may change our prices. For a plan you already pay for, we will email you at least 30 days before the change, and it will apply from your first renewal after that notice. If you do not want to pay the new price, cancel before it applies.
9. Complimentary plans and offers
We may give an account a plan or features free of charge, or a discount. These are at our discretion, and we may end them by telling you; your account then returns to the plan you pay for, or to the Free plan.
10. Teams and handovers
- You can invite people to your projects to view or edit them. Each invited person needs their own account and accepts these Terms.
- The project owner remains responsible for the project, and the owner's plan sets its limits and features, whoever is using it.
- The owner can remove people at any time.
- An owner can hand a project over to another account. If it is accepted, the project, its tracking keys and all its data move to the new owner, who becomes responsible for them, including as controller of the tracking data, and the project counts towards the new owner's plan.
11. Acceptable use
You must not:
- use the Service unlawfully, or to track people without the legal basis, notices or consent the law requires;
- install the script on a website you do not own or have permission to use it on;
- use the Service on pages where labels or chosen options would reveal special category data or data about children, unless you have switched recording off for those fields;
- attempt to reverse engineer, overload or disrupt the Service, get round its limits or security, or access other customers' data;
- resell the Service or use it to build a competing product.
12. Your data and data protection
- You own the data the Service collects on your websites. For it you are the controller and we are your processor, under our Data processing agreement.
- You are responsible for telling your visitors about the Service in your privacy and cookie notices and, where the law requires, for getting their consent before the script stores anything. The script supports this with
mo-data-require-consent; see our integration guide. - We may use aggregated, anonymised information about how the Service is used, which identifies neither you nor your visitors, to run and improve it.
13. Intellectual property
The Service and everything in it, other than your data, belong to Joined Up Intelligence Limited. While you use the Service we give you a non-exclusive, non-transferable licence to use the script on your websites and the dashboard for your own business. If you send us suggestions, we may use them without obligation to you.
14. Availability and changes to the Service
We work to keep the Service available, but cannot promise it will be uninterrupted or error-free. We may carry out maintenance, and change or withdraw features. If we remove a feature you pay for in a way that materially reduces your plan, we will give you reasonable notice and you may cancel and receive a refund of fees paid for the period after the change.
15. Our responsibility to you
- We provide the Service with reasonable skill and care. Apart from that and what these Terms say expressly, all other terms, conditions and warranties implied by law are excluded as far as the law allows.
- Analytics describe behaviour; they are not advice. Decisions you take using them are yours.
- We are not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss.
- Our total liability to you in any 12 months is limited to the fees you paid us in the 12 months before the event giving rise to the claim, or £100 if that is more.
- Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.
16. Your responsibility to us
You will compensate us for claims by third parties, and for fines, costs and reasonable legal fees, that arise from your breach of clause 11 or 12, including tracking visitors without the legal basis, notices or consent the law requires.
17. Suspension and ending
- You may stop using the Service at any time. To close your account, email hello@usemo.app; cancel any paid plan first.
- We may suspend or close your account if you seriously or repeatedly break these Terms, or if the law requires it. Where we reasonably can, we will warn you first and give you a chance to put things right.
- We may end the Service for everyone with at least 60 days' notice, and will refund fees paid for any period after it ends.
- When your account closes, remove our script from your websites. We delete your data as our Privacy policy and Data processing agreement describe; you can ask for a copy of your tracking data before then.
- Clauses that by their nature should survive the end of these Terms (including 12, 15, 16 and 20) do so.
18. Changes to these Terms
We may update these Terms. For changes that affect you materially we will email you at least 30 days before they take effect; if you do not agree, you may cancel before then and the current Terms will apply until your paid period ends. Other changes, such as clarifications, take effect when we post them here with a new date.
19. Events outside our control
We are not responsible for delays or failures caused by events outside our reasonable control, such as failures of our hosting or payment providers, internet outages or government action.
20. General
- These Terms, with the Data processing agreement, are the whole agreement between us about the Service.
- If any part of them is found unenforceable, the rest still applies.
- You may not transfer your rights under these Terms without our agreement. We may transfer ours to another business that takes over the Service, and will tell you if we do.
- Nobody else has rights under these Terms under the Contracts (Rights of Third Parties) Act 1999.
- If we do not enforce a right straight away, we can still enforce it later.
- These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
